The ongoing intense drama of a friendship falling apart continues on the program 'Hon Krasae'. “Yat Chaisoro” and his wife “Aem” proceeded to thoroughly clarify their side regarding the establishment of the “Chaisoro” company and the concerns about withdrawing company funds for personal use.
- P'Noom asked about Chaisoro. Yat said that while still working at Fedfe, he wanted to start his own company because he didn’t want conflicts with friends over ideas or competition, as Fedfe required votes from 8-9 people. So, he left Fedfe and told Ta.
- Ta said if Yat wanted to leave, he could join him and start a company together, which Yat agreed to. Yat also talked to Fedfe friends about leaving but didn’t actually leave. Eventually, when they parted ways, they returned to the original project. They even bought houses nearby, considering themselves lifelong friends living together.
- The initial company investment was only 999 baht, with bank accounts split equally, but Yat initially advanced other company funds.
- The Chaisoro company was originally opened by Aem’s older sister under the name “Rutthi,” with shareholders including Aem’s brother-in-law, Aem’s sister, and the brother-in-law’s mother. The original four shareholders reduced to three before changing to “Chaisoro,” where shares are held as Yat 49%, Ta 49%, and Aem 2%.
- Lawyer Arm interjected, “P’Noom, the 2% isn’t the issue; it’s the legal requirement then that there had to be three shareholders. But making the wife hold shares—how does that cause damage?” Lawyer Tuy responded that it’s not damaging but a 51% versus 49% split. Lawyer Arm added, “Did Ta have a girlfriend at that time? Why didn’t he have his girlfriend hold shares?”
- P’Noom asked who made that decision at the time. Yat said it seemed mandatory to have three shareholders, so they agreed it would be him, his wife, and Ta.
- Aem said that signing authority was held by two directors: Ta and Yat. Ta handled finances while Yat managed content creation and overall company operations.
- When asked what happened with the house, Yat said they bought it to use as an office. P’Noom asked why the house was titled in Yat’s name. Yat said it was money borrowed from the company, so he owed the company, requiring it to be in his name.
- Lawyer Tuy asked Yat if that means he is a debtor to the company and whether he had discussed this with Ta. Yat said, “We have discussed everything.”
- Yat explained that after selling the house, the money went into his account since it was under his name. The same applied to cars. Yat detailed that the 10 million baht received was used to buy a café and new office, which were in his name.
- Lawyer Tuy asked why Yat didn’t first repay the borrowed 10 million baht to the company before buying the café. Yat replied that the office property was only held for a year but had to be sold due to problems with the housing estate. He intended to buy a new place and hadn’t settled the company debt yet.
- Aem said that during this time, the company had issues paying employee salaries. Yat transferred parts of the 10 million baht back to the company to pay employee salaries in increments ranging from hundreds of thousands to millions.
- Of the 10 million baht, Yat bought a house, a GTO car, and a Nissan Note, spending 1.3 million baht. Ta also received 1.3 million baht in cash, which Ta said was transferred to share expenses. However, Ta then borrowed back 550,000 baht and has not repaid it. Every year, Ta reportedly uses company money to buy cars, including two cars for 3 million baht in 2021, without sharing the 1.5 million baht profit with Yat.
- P’Noom asked if Yat had borrowed over 10 million baht from the company directors and whether Ta had also borrowed company director money. Yat said, “No,” adding that the director loans occurred while Ta was a shareholder.
